Terms & Conditions

These Terms & Conditions ("Terms") govern your use of Algo AI Trade (the "Service"), built and operated by Softono ("Softono", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

Algo AI Trade lets you define trading strategies that run on a schedule, turns their output into trade signals, has an AI model analyze each signal for rationale, key risks and a confidence score, and — where you choose an automated execution mode — routes approved signals to a broker you have connected via that broker's API. You may also publish a strategy for other users to follow, or subscribe to a strategy published by someone else ("Publish & Follow").

2. Not investment advice

The Service is a software tool, not a SEBI-registered investment adviser or broker. Strategy definitions, AI verdicts and signals are decision-support output based on rules and data you configure — they are not a recommendation to buy or sell any security or instrument. Trading and investing carry a risk of loss, including total loss of capital. You are solely responsible for every order placed on your account, whether placed manually, automatically, or by following a strategy published by another user.

3. Your account

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorised access.

4. Broker connections and execution

Connecting a broker account authorises the Service to place, modify and cancel orders on your behalf through that broker's API, within the execution mode and risk limits you configure (advisory, manual, approve-first, or fully automated). New live broker connections start in paper (simulated) mode and are not eligible to place real orders until a verification run marks the connection ready. You are responsible for maintaining valid broker credentials, sufficient margin or funds, and compliance with your broker's own terms.

5. Pre-trade risk gates

The Service applies fixed pre-trade checks — including a kill switch, instrument-class checks, a signal-age limit, a maximum open-positions cap and a daily loss cap — before any order is placed. These gates reduce but do not eliminate the risk of loss, and Softono makes no guarantee that any gate will prevent a particular loss.

6. AI analysis

AI-generated verdicts are produced by third-party AI models processing the signal data you generate. AI output can be wrong, incomplete or based on stale data. It is provided for your review and is not a guarantee of trade outcome.

7. Publish & Follow

If you publish a strategy, you are not acting as an investment adviser to your followers, and Softono does not vet published strategies for suitability. If you follow a published strategy, signals execute on your own broker connection under your own risk settings — the strategy owner has no access to, and no control over, your account or capital.

8. Licenses, billing and cancellation

Access to strategies and broker connections is sold as licenses (one license per strategy you run or follow; one per broker connection), billed on the plan and interval shown at checkout via Cashfree or Stripe. New accounts may receive a free trial as described on the Pricing page. You may cancel a subscription at any time from your account billing page; access continues until the end of the period already paid for. Fees already paid are non-refundable except where required by applicable law or stated otherwise at the time of purchase.

9. Acceptable use

You agree not to misuse the Service, including attempting to circumvent rate limits or risk gates, reverse-engineering the platform, or using it for any unlawful purpose.

10. Intellectual property

The Service, its software and content are owned by Softono. Strategy definitions you create remain yours; publishing a strategy grants other users a license to subscribe to and execute its signals, not ownership of the definition.

11. Limitation of liability

To the maximum extent permitted by law, Softono is not liable for trading losses, lost profits, or indirect or consequential damages arising from your use of the Service, including losses caused by broker outages, market data delays, AI output, or execution errors. Nothing in these Terms limits liability that cannot be limited under Indian law.

12. Indemnity

You agree to indemnify Softono against claims arising from your breach of these Terms or misuse of the Service.

13. Termination

We may suspend or terminate your account for breach of these Terms, suspected fraud, or misuse that risks other users or the platform. You may close your account at any time.

14. Governing law

These Terms are governed by the laws of India, including the Information Technology Act, 2000. Courts at the location of Softono's registered office have exclusive jurisdiction over disputes arising from these Terms.

16. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
